1. Acceptance of Terms

By downloading, installing, accessing, or using Audia ("the App" or "the Software"), you agree to be legally bound by this Terms of Service & End User License Agreement ("Terms" or "Agreement"). If you do not agree to these Terms, do not install, access, or use Audia.

These Terms constitute a legally binding agreement between you ("User" or "you") and BizTech Solutions LLC ("Company," "we," "us," or "our"), a Virginia limited liability company with its principal place of business at 9730 Water Oak Drive, Fairfax, Virginia 22031, developer and operator of Audia. Your use of Audia is also governed by our Privacy Policy, which is incorporated herein by reference.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the Last Updated date above and post the revised Terms on our website. Your continued use of Audia after any revisions constitutes your acceptance of the updated Terms.

2. License Grant & Permitted Use

2.1 Scope of License

Subject to your compliance with these Terms and the payment of any applicable subscription or license fees, BizTech Solutions LLC grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and execute Audia on macOS devices that you own or personally control.

2.2 Activation Limits

Unless explicitly stated otherwise in your plan, each paid license key permits concurrent activation on up to 3 personal macOS devices owned or controlled by you. You may deactivate an authorized device via the in-app settings to transfer your license to another machine.

2.3 Restrictions

You agree not to, and you will not permit any third party to:

• Copy, modify, adapt, translate, distribute, sell, lease, rent, or sublicense Audia or any part thereof.
• Reverse-engineer, decompile, disassemble, decrypt, or attempt to derive the source code, underlying algorithms, or data formats of Audia (except to the minimal extent permitted by applicable law).
• Circumvent, tamper with, disable, or modify any license validation, anti-piracy, cryptographic signature, or entitlement verification mechanism used by Audia.
• Remove, obscure, or alter any copyright notices, trademarks, or proprietary markings on or within the Software.
• Use Audia to build a competitive product or service.
• Use Audia in any high-risk environment where software malfunction could lead to death, personal injury, or severe property or environmental damage.

3. Subscriptions, Payments & Billing

3.1 Merchant of Record (Lemon Squeezy)

All purchases, subscriptions, payments, taxes, and invoicing for Audia are processed by Lemon Squeezy Inc. ("Lemon Squeezy"), who acts as the Merchant of Record (MoR) for our digital products. By purchasing an Audia license or subscription:

• You agree to and are bound by Lemon Squeezy's Buyer Terms of Service and Privacy Policy.
• Lemon Squeezy is responsible for order processing, sales tax, VAT, currency conversions, and billing administration.
• BizTech Solutions LLC never collects, stores, or processes your raw credit card numbers or billing addresses.

3.2 Subscription Tiers

Audia is offered across three subscription tiers:

Prices are in USD (exclusive of applicable local taxes/VAT, which are calculated at checkout by Lemon Squeezy) and are subject to change with reasonable advance notice.

3.3 Free Trials & Automatic Renewal

• Free Trials: Certain features or subscription plans may include a limited trial period. If you do not cancel prior to the expiration of a paid trial, your subscription will convert into a paid recurring subscription.
• Automatic Renewal: Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You authorize Lemon Squeezy to charge your designated payment method for each renewal term.

3.4 Cancellation

You may cancel your subscription at any time through the in-app customer portal link (app.lemonsqueezy.com/my-orders) or by contacting support. Cancellation takes effect at the end of your current paid billing period; you retain access to paid features until that date, after which your installation reverts to Audia Basic functionality.

3.5 Refund Policy & Statutory Rights

• 7-Day Satisfaction Guarantee: We offer a 7-day money-back guarantee on initial subscription purchases. To request a refund within 7 days of initial purchase, contact us at support@audiamac.app or through Lemon Squeezy's customer portal.
• European Union & UK Right of Withdrawal Waiver:
  If you reside in the European Union or the United Kingdom: By purchasing a subscription and activating the software or entering your license key, you explicitly consent to the immediate provision of digital content and acknowledge that you expressly waive your statutory 14-day right of withdrawal once digital access has been granted, subject only to our voluntary 7-day refund guarantee.
• Beyond 7 days from purchase, all payments are non-refundable except where explicitly required by mandatory consumer protection law.

4. License Verification & Device Management

4.1 Entitlement Checks

To verify your active subscription, Audia periodically connects to our licensing backend over HTTPS. The App sends an anonymous, randomly generated Install ID and validates your entitlement status.

4.2 Offline Grace Period

If your Mac cannot establish an internet connection to reach our licensing server, Audia utilizes a locally cached, cryptographically verified entitlement for up to 72 consecutive hours. If the device remains offline beyond 72 hours, paid features will pause and Audia will operate in Basic mode until connectivity is restored.

4.3 Restoring Access & License Key

You may restore your subscription on a new device or following a reinstallation by entering your License Key (provided on your Lemon Squeezy purchase receipt) into the App. The App transmits your License Key and Install ID to authorize the device.

4.4 Deactivation

You may voluntarily unlink a device from your license within Audia's Settings. This deactivation frees an activation slot on our licensing server and Lemon Squeezy, allowing you to activate Audia on another computer.

5. Audio Recording, Eavesdropping & Wiretapping Compliance (CRITICAL)

PLEASE READ THIS SECTION CAREFULLY. AUDIA PROVIDES PER-APP AUDIO RECORDING CAPABILITIES THAT INTERCEPT AND SAVE AUDIO PRODUCED ON YOUR DEVICE.

5.1 Compliance with Recording & Wiretapping Laws

You acknowledge that federal, state, and international laws regulate the interception, recording, and monitoring of oral, wire, and electronic communications (including, without limitation, the U.S. Electronic Communications Privacy Act, Virginia Code § 19.2-62, California Penal Code § 632, Massachusetts Gen. Laws ch. 272 § 99, and similar state, federal, or national "two-party" or "all-party" consent statutes, as well as international data protection laws).

You represent, warrant, and covenant that:

1. Consent Required: You will not use Audia to record any conversation, telephone call, conference call (e.g., Zoom, Google Meet, Microsoft Teams, FaceTime), stream, or audio communication without first obtaining all legally necessary consents from every participating party, in strict accordance with the laws of every jurisdiction involved.
2. Sole Responsibility: You are solely and exclusively responsible for determining the legal requirements that apply to your recordings and for ensuring strict adherence thereto.
3. Intellectual Property in Recorded Content: You will not record, duplicate, or capture audio content that infringes upon the copyright, trademark, or intellectual property rights of any third party without express license or lawful authorization.

5.2 Complete Disclaimer & Indemnity for Audio Recording

BIZTECH SOLUTIONS LLC HAS NO KNOWLEDGE OF, ACCESS TO, OR CONTROL OVER THE AUDIO YOU RECORD. ALL AUDIO IS RECORDED LOCALLY TO YOUR DISK.
BizTech Solutions LLC expressly disclaims all liability arising out of or related to your use of the audio recording features. You agree to defend, indemnify, and hold harmless BizTech Solutions LLC, its members, managers, officers, contractors, and agents against any and all claims, civil penalties, criminal investigations, liabilities, losses, damages, and legal expenses resulting from your failure to obtain required consents or your violation of any eavesdropping, wiretapping, privacy, or copyright laws.

6. Audio Engine, System Stability & Hardware Disclaimers

Audia operates low-level digital signal processing (DSP) taps, virtual aggregate audio devices, and process-level audio intercepts using macOS CoreAudio and HAL APIs.

You acknowledge and agree that:

• No Guarantee of Audio Integrity: While Audia is engineered for low-latency stability, audio processing is inherently subject to operating system load, CPU throttling, hardware buffer changes, sample-rate mismatches, and third-party driver conflicts. We do not warrant that audio routing, playback, or recording will be uninterrupted, glitch-free, latency-free, or devoid of buffer dropouts.
• No High-Stakes / Mission-Critical Reliance: Audia is not designed for fail-safe use in live broadcast environments, high-stakes professional live DJ sets, emergency communications, or critical medical equipment. You assume full risk for any audio dropouts, distortion, system audio crashes, or failed recordings during live events.
• Hardware & Peripherals: Audia communicates with CoreAudio devices, Bluetooth headphones, and external audio interfaces. BizTech Solutions LLC is not liable for any audio distortion, hardware mute behavior, or equipment issues resulting from third-party hardware interactions.

7. Third-Party Applications & Services

7.1 Scripting & Apple Events

Audia uses macOS Apple Events (inter-process communication) to interact with applications such as Spotify, Apple Music, and web browsers (Google Chrome, Brave, Safari, Arc, Edge, Opera) for playback controls and tab audio detection. These features depend entirely on public scripting interfaces exposed by those applications.

• We do not control and are not responsible for changes, bugs, or deprecations that third-party vendors make to their applications or scripting interfaces.
• If a third party discontinues support for Apple Events or audio tap inspection, Audia may disable or modify the affected functionality without liability.

7.2 Non-Affiliation Disclaimer

Audia is an independent product developed by BizTech Solutions LLC. Audia is not affiliated, associated, authorized, endorsed by, or in any way officially connected with Apple Inc., Spotify AB, Google LLC, Brave Software, Inc., or any of their subsidiaries or affiliates.
All third-party trademarks (including macOS, CoreAudio, Apple Music, Spotify, Chrome, Safari, AirPods) are registered trademarks of their respective owners. Their mention in Audia or these Terms is strictly for nominative identification and interoperability descriptions.

8. Updates & Feature Changes

We routinely release updates via the integrated Sparkle update framework to introduce features, improve stability, and maintain compatibility with new macOS versions.

• Operating System Compatibility: We endeavor to support contemporary macOS releases, but cannot guarantee indefinite backward or forward compatibility with past or future macOS releases.
• Feature Adjustments: We reserve the right to modify, adjust, or sunset individual features when necessary due to underlying macOS API changes, security requirements, or third-party deprecations.

9. Intellectual Property

BizTech Solutions LLC and its licensors retain all right, title, and interest in and to Audia, including its source code, binaries, UI/UX designs, trademarks, logos, documentation, and bundled ambient audio recordings.

Except for the limited license expressly granted in Section 2, no rights, titles, or interests in or to Audia's intellectual property are transferred or licensed to you.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUDIA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND DEFECTS. BIZTECH SOLUTIONS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE MAKE NO WARRANTY THAT:

• AUDIA WILL MEET YOUR SPECIFIC REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.
• AUDIA WILL BE COMPATIBLE WITH ALL AUDIO INTERFACES, HARDWARE, DAWS, OR THIRD-PARTY SOFTWARE.
• RECORDED AUDIO FILES WILL BE ACCURATE, UNCORRUPTED, COMPLETE, OR SAVED WITHOUT DROPOUTS.
• ANY DEFECTS OR ERRORS IN THE SOFTWARE WILL BE CORRECTED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIZTECH SOLUTIONS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY;
• FAILED, CORRUPTED, OR MISSING AUDIO RECORDINGS;
• SYSTEM DOWNTIME, AUDIO GLITCHES, DROPOUTS, OR BROADCAST INTERRUPTIONS;
• COST OF SUBSTITUTE SOFTWARE OR SERVICES;
• ANY CLAIMS ARISING FROM UNAUTHORIZED AUDIO RECORDINGS MADE BY YOU;

WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF BIZTECH SOLUTIONS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL BIZTECH SOLUTIONS LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR AUDIA EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO BIZTECH SOLUTIONS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS ($50.00 USD).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless BizTech Solutions LLC, its affiliates, licensors, managers, members, officers, directors, employees, and agents from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys' fees arising out of or resulting from:

1. Your use or misuse of Audia;
2. Any audio recording created, captured, or distributed by you using Audia;
3. Your violation of any applicable federal, state, local, or international law, statute, or regulation (including wiretapping, eavesdropping, consent, and privacy laws);
4. Your breach of any provision of these Terms; or
5. Your infringement or violation of any intellectual property, privacy, or other right of any third party.

13. Termination

13.1 By You

You may terminate this Agreement at any time by deleting and uninstalling Audia from all devices and cancelling any active subscription.

13.2 By Us

We reserve the right to suspend or terminate your license immediately and without prior notice if you violate these Terms, circumvent license verification, engage in payment fraud, or abuse our infrastructure.

13.3 Survival

Sections 2.3, 5, 6, 7.2, 9, 10, 11, 12, 14, 15, and 16 shall survive any expiration or termination of this Agreement.

14. Governing Law & Jurisdiction

These Terms and any dispute arising out of or related to your use of Audia shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflicts of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly disclaimed.

Subject to the arbitration agreement in Section 15, any legal action or proceeding arising under these Terms shall be brought exclusively in the state courts located in the City of Richmond, Virginia, or the United States District Court for the Eastern District of Virginia (Richmond Division), and you hereby consent to personal jurisdiction and venue therein.

15. Dispute Resolution & Binding Arbitration

15.1 Informal Resolution

Before initiating any legal proceeding, you and BizTech Solutions LLC agree to attempt in good faith to resolve any dispute informally. You must send a written description of the dispute along with your contact information to legal@audiamac.app. We will attempt to resolve the issue within 30 calendar days.

15.2 Binding Individual Arbitration

If an informal resolution is not reached within 30 days, any dispute, controversy, or claim arising out of or relating to these Terms or Audia shall be settled by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English by a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

15.3 Class Action Waiver

YOU AND BIZTECH SOLUTIONS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS.

15.4 30-Day Arbitration Opt-Out Right

You have the right to opt out of the binding arbitration and class action waiver provisions of this Section 15. To opt out, you must send written email notice to legal@audiamac.app with the subject line "Arbitration Opt-Out" within thirty (30) days of the date you first download or purchase Audia. Your notice must include your full name, email address, and an unambiguous statement that you opt out of arbitration. If you opt out, disputes will be resolved in accordance with Section 14.

15.5 Consumer Law Exceptions

Nothing in this section restricts mandatory rights provided to consumers under applicable consumer protection legislation in jurisdictions where arbitration cannot be compelled (such as the European Union or United Kingdom).

16. Severability & Entire Agreement

If any provision of these Terms is deemed invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and Lemon Squeezy's Buyer Terms, constitute the entire agreement between you and BizTech Solutions LLC concerning Audia and supersede all prior or contemporaneous agreements, understandings, representations, or warranties.
